1. Acceptance of Terms

By accessing or using Sentio ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

BETA TESTING AGREEMENT: Sentio is currently in beta testing. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. By using the Service, you acknowledge that:

  • The Service may contain bugs, errors, or incomplete features
  • Data loss may occur and backups are your responsibility
  • Service availability is not guaranteed
  • Features may change or be removed without notice
  • You use the Service at your own risk

2. Eligibility

You must meet the following requirements to use the Service:

  • Be at least 18 years old (or legal age in your jurisdiction)
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information

By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

3.1 Account Creation

  • You must create an account to use certain features
  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Notify us immediately of unauthorized access

3.2 Account Responsibilities

  • You are responsible for all activities under your account
  • You may not share your account credentials
  • You may not create multiple accounts to circumvent restrictions
  • We reserve the right to terminate accounts violating these Terms

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer the following subscription tiers:

  • Free: $0/month - Limited features and usage
  • Flex: $8/month - Credit-based system with rollover
  • Starter: $19/month - Standard features
  • Plus: $48/month - Advanced features

4.2 Billing Terms

  • Subscriptions are billed monthly in advance
  • Payments are processed securely through Stripe
  • All fees are in USD unless otherwise stated
  • Taxes are calculated based on your billing address
  • Failed payments may result in service suspension

4.3 Refund Policy

NO REFUNDS: All payments are final and non-refundable except as required by law. We do not provide refunds for:

  • Partial subscription periods
  • Unused credits or features
  • Service downtime or bugs (beta testing)
  • Account termination due to Terms violations

4.4 Cancellation

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of the current billing period
  • No refunds for the current billing period
  • Access continues until the subscription expires

4.5 Price Changes

  • We may change subscription prices at any time
  • Price changes apply to new subscribers immediately
  • Existing subscribers receive 30 days notice
  • Continued use after price change constitutes acceptance

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree NOT to:

  • Violate Laws: Use the Service for illegal purposes or violate any laws
  • Abuse the Service: Attempt to bypass rate limits, scrape data, or overload systems
  • Unauthorized Access: Access other users' accounts or non-public areas
  • Malicious Content: Upload malware, viruses, or harmful code
  • Harassment: Harass, threaten, or impersonate others
  • Spam: Send unsolicited communications or abuse analysis features
  • Reverse Engineering: Decompile, reverse engineer, or extract source code
  • Reselling: Resell or redistribute the Service without authorization

5.2 Content Restrictions

You may not submit content that:

  • Violates intellectual property rights
  • Contains hate speech, discrimination, or violence
  • Includes personal data of others without consent
  • Is illegal, obscene, or defamatory
  • Promotes illegal activities or terrorism

6. Intellectual Property

6.1 Our Intellectual Property

  • Sentio owns all rights to the Service, including code, design, and branding
  • You may not copy, modify, or create derivative works
  • Trademarks and logos are the property of Sentio
  • Unauthorized use is prohibited

6.2 Your Content

  • You retain ownership of content you submit
  • You grant us a license to process, store, and analyze your content
  • This license is limited to providing the Service
  • We do not claim ownership of your content

6.3 AI-Generated Results

  • Analysis results are generated using AI (xAI Grok primary, OpenAI GPT fallback)
  • You own the analysis results we generate for you
  • Results are for your use only and may not be resold
  • AI results may contain errors or inaccuracies

7. Disclaimers and Limitations

7.1 No Warranties

DISCLAIMER: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of accuracy, reliability, or completeness
  • Warranties of uninterrupted or error-free operation
  • Warranties that defects will be corrected
  • Warranties regarding third-party services (xAI, OpenAI, Stripe)

7.2 Limitation of Liability

LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENTIO SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, revenue, data, or business opportunities
  • Service interruptions, data loss, or security breaches
  • Errors in analysis results or AI-generated content
  • Third-party actions or services

TOTAL LIABILITY: Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

7.3 Beta Testing Disclaimer

  • The Service is in beta and may change significantly
  • Features may be added, modified, or removed without notice
  • We may reset data or accounts during beta testing
  • Beta access may be revoked at any time

8. Indemnification

You agree to indemnify, defend, and hold harmless Sentio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Content you submit to the Service
  • Your negligence or willful misconduct

9. Termination

9.1 Termination by You

  • You may terminate your account at any time
  • Cancel via account settings or contact support
  • No refunds for remaining subscription period

9.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • Your account is used for fraudulent or illegal activities
  • You fail to pay subscription fees
  • We discontinue the Service
  • Required by law or regulatory authorities

9.3 Effect of Termination

  • Access to the Service immediately ceases
  • Your data may be deleted after 90 days
  • You remain liable for fees incurred before termination
  • Sections 6-11 survive termination

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. Key points:

  • We collect and process data as described in our Privacy Policy
  • We use third-party services (xAI, OpenAI, Stripe, Supabase)
  • You have rights to access, delete, and export your data
  • We implement security measures but cannot guarantee absolute security

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.

11.2 Arbitration

MANDATORY ARBITRATION: Any dispute arising from these Terms or the Service shall be resolved through binding arbitration, not in court. Exceptions:

  • Small claims court (claims under $10,000)

11.3 Class Action Waiver

NO CLASS ACTIONS: You agree to resolve disputes individually, not as part of a class action, collective action, or representative proceeding.

11.4 Informal Resolution

12. Modifications to Terms

  • We may modify these Terms at any time
  • Changes will be posted with a new "Last Updated" date
  • Material changes will be communicated via email (30 days notice)
  • Continued use after changes constitutes acceptance
  • If you disagree, your sole remedy is to stop using the Service

13. General Provisions

13.1 Severability

If any provision is found invalid, the remaining provisions remain in full effect.

13.2 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Sentio.

13.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

13.4 Assignment

  • You may not assign your rights under these Terms
  • We may assign our rights to any successor or acquirer

13.5 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, pandemics, wars, strikes, etc.).

13.6 Export Control

You agree to comply with all export control laws. You may not use the Service if you are located in an embargoed country or on a sanctions list.
